These terms are the agreement between you and Spark Books (Kiazen io) for use of the Spark Books software and website. By creating an account or using the service, you accept them. If you do not accept them, do not use the service. They also serve as the end user licence agreement for the software.
Spark Books is bookkeeping software for UK sole traders and small businesses. It records income and costs, reads supplier invoices from connected mailboxes, and produces summaries and reports.
It is not an accountant, a tax adviser, or a regulated financial adviser, and nothing it produces is accounting, tax, legal or investment advice. Figures, categories and VAT treatments are generated automatically, including by AI, and can be wrong. You remain responsible for the accuracy of your records and for anything you file with HMRC or Companies House. Check the numbers with a qualified professional before you rely on them.
You must be at least 18 and provide accurate details. You are responsible for keeping your login credentials secure and for everything done through your account. Tell us promptly if you think someone else has access to it. One account is for one business unless we agree otherwise in writing.
While your account is active and paid for, we grant you a limited, non-exclusive, non-transferable, revocable licence to use Spark Books for your own business purposes. You may not copy, resell, sublicense, rent out or white-label the service, attempt to reverse-engineer or extract its source code, scrape it, use it to build a competing product, or remove any branding. We keep all intellectual property rights in the software.
Paid plans are billed in advance on a recurring basis through Stripe, our payment processor. Prices are shown on our pricing page and include VAT where applicable. You authorise us to charge your payment method for each renewal until you cancel.
You can cancel at any time from your account. Cancellation stops future renewals and takes effect at the end of the period you have already paid for. We do not generally refund part-used periods. If we change our prices we will tell you before the change applies to you. If a payment fails we may suspend access until it is settled. Your statutory rights as a consumer, where they apply, are not affected.
Your bookkeeping records remain yours. You grant us the licence we need to host and process them in order to run the service, including sending document content to our AI providers for extraction. How we handle personal data is set out in our Privacy policy.
When you connect a mailbox or an accounting package, you confirm you are entitled to grant that access. You can disconnect any integration at any time from your settings. We are not responsible for those third-party services, for changes they make, or for anything that happens inside them.
Do not use Spark Books to break the law, to store or process data you have no right to, to attempt to gain access to accounts belonging to other users or to our infrastructure, to interfere with the service, or to place unreasonable load on it. We may suspend or terminate accounts that do.
We aim to keep the service available but do not promise it will be uninterrupted or error-free. We may need to take it down for maintenance, and we may add, change or withdraw features. Where a change materially reduces what you receive on a paid plan, we will give you reasonable notice.
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, the service is provided on an as-is basis, we exclude implied warranties to the extent the law allows, and we are not liable for loss of profit, loss of business, loss of goodwill, or for penalties, interest or additional tax arising from figures you did not check. Our total liability to you in any twelve-month period is limited to the fees you paid us in that period.
You may close your account at any time. We may suspend or end your access if you break these terms, if payment fails, or if we stop offering the service, giving reasonable notice where we can. Export your data before you close your account, as we delete it in line with the retention periods in our Privacy policy.
We may update these terms. If a change is material we will tell you by email or in the app before it takes effect. Continuing to use the service after that means you accept the updated terms. The date at the top of this page shows when it was last changed.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
